1. Introduction

Welcome to www.accelpix.com. These Terms of Use (the “Terms”) govern your access to and use of our website and the products and services offered by Accelpix Solutions Pvt. Ltd. (“Accelpix”, “we”, “us”). By using the Site or subscribing to any service, you agree to these Terms together with our Privacy Policy, Refund Policy, Disclaimer and Support Policy.

These Terms are published under Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and do not require any physical or digital signature.

2. Eligibility

By using our services, you confirm that you are at least 18 years of age, are competent to contract under Indian law, and are using the services in compliance with all applicable laws of your jurisdiction. If you are acting for a company or other entity, you confirm you are duly authorised to bind that entity.

3. Authorised Data Vendor & Exchange Compliance

Accelpix is an Authorised Data Vendor of the Indian Stock Exchanges. Market Data is supplied strictly in accordance with our agreements with Exchanges, and with directives issued by SEBI from time to time.

  1. By subscribing, you confirm that you are not an Exchange, Trading Venue or Settlement Venue outside India, and that you comply with the Exchange Circular dated 9th February 2018 and all subsequent Exchange/SEBI directives relating to use of Market Data.
  2. Market Data and information received through our services is solely for the use of the registered Subscriber and must not be redistributed, retransmitted, resold, sub-licensed or shared in any form (electronic, printed or otherwise) with any third party without our prior written consent.
  3. You agree to provide such KYC, declarations and information as may be required for regulatory reporting to the Exchanges or SEBI. Breach of this section is a material breach entitling us to suspend services immediately.

4. Orders, Payments & Trial

  1. All orders, once accepted by us or our payment partners (Razorpay, ICICI Direct, PayPal), cannot be modified or cancelled by you for any reason, except as expressly provided in our Refund Policy.
  2. A 5-day evaluation trial is offered for substantially all products so you can test suitability before subscribing. Once you subscribe, all sales are final and non-refundable.
  3. All fees are in Indian Rupees and exclusive of GST. We do not store credit card or banking details – these are handled directly by PCI-DSS compliant payment aggregators.
  4. Wrongful or unjustified chargebacks are prohibited and entitle us to terminate services and recover all dues, costs and interest at 18% per annum.

5. Licence & Intellectual Property

Subject to timely payment of fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use our services for your own personal or internal business use during your Subscription Term. The licence does not extend to future versions or upgrades unless expressly included in your plan.

You shall not copy, reverse-engineer, sublicense, redistribute, or use our services to build a competing product. All software, code, data, content, designs and trademarks on the Site are owned by Accelpix or its licensors. “Accelpix™” is our trademark. Third-party trademarks (AmiBroker, NinjaTrader, MetaStock, MultiCharts, Ensign, etc.) belong to their respective owners and are referenced only to indicate compatibility.

6. Acceptable Use

You shall not (a) use the services in violation of any law or Exchange/SEBI directive; (b) upload unlawful, defamatory, obscene or harmful content; (c) introduce malware or attempt unauthorised access; (d) scrape data or use automated means outside our documented APIs; or (e) share your login or licence keys with any third party.

7. Confidentiality

Registration codes, licence keys, login credentials and technical documentation are confidential. You shall protect them securely and notify us immediately of any compromise or unauthorised disclosure.

8. Disclaimer of Warranties

The services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for purpose, accuracy, completeness, timeliness and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or suitable for any particular trading or investment decision.

9. Limitation of Liability

  1. To the maximum extent permitted by law, Accelpix shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, trading opportunity, data, goodwill or business interruption, arising out of use of our services.
  2. Our aggregate liability under these Terms shall not exceed the subscription fees actually paid by you in the 3 months immediately preceding the event giving rise to the claim.
  3. We are not responsible for losses caused by incorrect, faulty or delayed Market Data resulting from Exchange-side issues, internet/telecom failures, your system configuration, or force majeure events.

10. Indemnification

You shall indemnify and hold harmless Accelpix, its directors, employees, affiliates and licensors from all claims, losses, damages and costs (including reasonable legal fees) arising out of your breach of these Terms, your violation of law or third-party rights, any misuse or unauthorised redistribution of Market Data, and any regulatory claim arising from your acts or omissions.

11. Term, Suspension & Termination

  1. These Terms apply from your first use of the Site and continue until terminated. We may suspend or terminate your access for any breach, non-payment, regulatory direction, or violation of Exchange directives.
  2. For curable breaches, we will give you 30 days’ written notice to cure. Termination does not entitle you to any refund. The clauses on IP, confidentiality, disclaimers, liability, indemnity and jurisdiction survive termination.

12. Grievance Redressal

Any complaint, grievance or request relating to the Site or services may be sent to our Grievance Officer through the channels published at www.accelpix.com/contact-us. Grievances are acknowledged within 24 hours and resolved within 15 days, as required under Rule 3(2) of the IT (Intermediary Guidelines) Rules, 2021.

13. Changes to These Terms

We may amend these Terms from time to time. Material changes will be notified by email at least 10 days in advance and by posting a notice on the Site. Continued use of the services after the effective date constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the competent courts at Gandhinagar, Gujarat, India. Either party may, at its option, refer disputes to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, with the seat at Gandhinagar, Gujarat, India.

By using the Site or our services, you acknowledge that you have read and accepted these Terms.

Grievances are acknowledged within 24 hours and resolved within 15 days, as required under the IT (Intermediary Guidelines) Rules, 2021. For anything else — licensing, redistribution, or what your plan permits — ask before you assume.
